1. What Personas are, and what they are not
A Persona (or "Digital Twin") is an artificial-intelligence construct configured to emulate the manner, voice, style, personality, apparent knowledge or likeness of a natural person.
A Persona is a simulation. It is not the person it emulates. Persona Outputs are generated probabilistically by machine-learning systems and are not statements, opinions, decisions, endorsements, advice or communications of the Subject, of dFusion, or of anyone else.
Personas are an experimental research preview. You acknowledge that Personas are an experimental technology and that no refunds will be given at this time. Our team will do our best to improve the performance of personas based on your feedback. The specific limitations you are accepting are set out in the Experimental Feature Disclosure, which forms part of your agreement and which you accept separately before purchase. Those limitations define what we have promised you. Please read that document — it is short and it is the operative description of the product.
2. Definitions
- "Persona Inputs" — data supplied to create, configure, train, ground or operate a Persona: text, writing samples, correspondence, documents, voice and audio recordings, photographs, video, behavioural data, preferences, prompts and conversation histories.
- "Persona Outputs" — text, audio, imagery, video, embeddings, inferences, transcripts and other content generated by or from a Persona.
- "Subject" — the natural person a Persona is configured to emulate.
- "Creator" — the person who creates, configures, enables or controls a Persona.
- "Self-Persona" — a Persona where you are both Creator and Subject.
- "Third-Party Persona" — a Persona where the Subject is someone other than the Creator.
- "Protocol Network" — the decentralised dFusion protocol, including its nodes, operators, validators, storage layers and indexes.
- "Biometric Data" — voiceprints, facial-geometry templates and similar identifiers derived from Persona Inputs.
- "Verified Subject Consent" — a Biometric Data Consent & Release and Subject authorisation executed personally by the Subject through our verification flow, as described in Section 5.
3. Eligibility
You must be 18 or over to buy or use Personas, and a Persona may only emulate a person who is 18 or over. We do not knowingly permit Personas of minors. If we learn of one, we will disable it and may close your account.
4. Self-Personas
For a Self-Persona you must complete identity verification. You are responsible for the accuracy of what you tell us. You accept the Biometric Data Consent & Release in your own name where voice or facial processing is involved.
5. Third-Party Personas — the Subject must consent personally
This is the most important operational rule in this agreement.
You may create a Persona of another person. You may not consent on their behalf.
5.1 Before you supply any Persona Input about another person, you must confirm that you have their permission and must identify them to us.
5.2 We will then contact the Subject directly and ask them to review the disclosures and execute the consents personally, at their own verified identity. That is Verified Subject Consent.
5.3 A Third-Party Persona will not be generated, and no voiceprint or facial template will be created, until Verified Subject Consent exists. This is a hard technical block, not a policy. Your purchase does not bypass it, and we will not create the Persona merely because you have told us you have permission.
5.4 If the Subject declines, does not respond within 14 days, or later withdraws, we will not create the Persona, or will disable and delete it, and no refunds will be available.
5.5 You also represent and warrant, on a continuing basis, that:
(a) you hold all rights and permissions necessary to supply each Persona Input and to grant the licences in Section 11; (b) your Persona Inputs and your use of the Persona do not infringe any copyright, trademark, moral right, right of publicity, right of privacy, biometric-privacy right, digital-replica right or other right of any person; (c) you will comply with all applicable law, including biometric privacy, data protection, right-of-publicity, consumer protection, election and AI-disclosure law; and (d) you are not subject to any court order, settlement or injunction restricting your use of the Subject's name, voice, likeness or persona.
5.6 You may not create a Persona of: any person who has not given Verified Subject Consent; any minor; any deceased person, except with documented authority from the holder of the applicable post-mortem rights; or any public figure, performer, athlete or politician, absent their own written authorisation. We may refuse or block any Persona at our discretion.
6. The Subject's rights over their own Persona
Whoever paid, the Subject controls whether a Persona of them exists. A Subject may at any time, without charge and without giving reasons:
- withdraw consent and require the Persona to be disabled and deleted;
- obtain a copy of the Persona Inputs held about them;
- require correction of inaccurate Persona Inputs; and
- restrict the contexts in which the Persona may be used.
We will act on a credible request from a Subject without requiring them to approach the Creator first, and we will give effect to it in preference to the Creator's wishes. Creators should understand that a Persona they paid for may be removed at the Subject's request.
7. Notice and takedown
Anyone who believes a Persona has been created or used without their consent, or beyond the consent given, may notify us at service@dfusion.ai with their contact details, identification of the Persona, the basis of the complaint, and a good-faith statement that the use is unauthorised and that the notice is accurate.
We will review complete notices and target an initial response within seven (7) days. We may disable, restrict or delete a Persona where we consider a violation likely. A Creator may submit a counter-notice with supporting documentation; we may, but need not, restore the Persona. We terminate accounts of repeat violators. The key itself is not taken back; a revoked key cannot host a page, even for a later holder
8. Acceptable use
You must not use a Persona to:
(a) impersonate any person, or create a false impression of identity or authority, in any transaction, communication, negotiation or authentication; (b) obtain money, credit, goods, services, credentials, access or votes by deception; (c) generate intimate, sexual or nude depictions of any person, or any content sexualising a minor; (d) defame, harass, threaten, stalk, intimidate, degrade or incite violence against any person or group; (e) falsely attribute statements, endorsements, opinions, admissions, credentials or affiliations to any person; (f) influence or interfere with any election, referendum, or judicial, regulatory or legislative proceeding, or to generate political communications attributed to a real person; (g) provide medical, legal, financial, psychological, therapeutic or crisis advice, or substitute for a licensed professional or an emergency service; (h) communicate with anyone in circumstances where they would reasonably believe they are dealing with the actual Subject; (i) remove, obscure, alter or circumvent any AI-disclosure notice, watermark, provenance metadata or machine-readable marking we apply; or (j) train, fine-tune, distil or benchmark a competing model, or extract Persona Inputs or Outputs in bulk.
9. AI disclosure — your obligations and ours
9.1 What we do. Every Persona discloses that it is an AI system at the start of each interaction and whenever asked about its nature or origin. We apply machine-readable markings and provenance metadata to generated audio, image and video output, and human-perceivable labels on first exposure.
9.2 What you must do. If you take Persona Outputs outside our Services and publish or share them, you are the deployer of that content and you are responsible for labelling and disclosure under applicable law, including Article 50 of Regulation (EU) 2024/1689. You must not present Persona Outputs as genuine recordings or statements of the Subject.
10. Experimental status; what we have and have not promised
Personas are an experimental research preview. We may modify, degrade, restrict, suspend or withdraw the feature, and may delete Personas and their histories.
What we promise is the product as described in the Experimental Feature Disclosure, which lists each material limitation specifically. That document, and not this clause, defines the agreed characteristics of what you bought.
If you are a consumer, we do not exclude the statutory quality, description or fitness standards that apply to what we actually promised you. Where those standards apply, your remedies are set out in Section 22. We rely on the Experimental Feature Disclosure to define the standard — not to remove it.
We make no promise that a Persona will accurately represent the Subject, that Outputs will be true, or that the feature is fit for any professional, commercial, medical, legal, financial or decision-making use. Those are among the specified deviations in the Disclosure. Do not rely on Persona Outputs.
11. Your content and our rights
11.1 Licence you grant us. You grant dFusion AI Labs inc., its affiliates, successors and assigns, and the Protocol Network and its participants, a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid-up, transferable and sublicensable licence to host, store, cache, reproduce, index, transmit, replicate, adapt, modify, translate, create derivative works from, analyse, aggregate, de-identify, display and distribute Persona Inputs and Persona Outputs, and to use them to develop, train, fine-tune, evaluate, secure and improve models, systems and services, in any media and for any purpose relating to the operation, development, security or promotion of the Services or the Protocol Network.
11.2 What we own. As between you and us, dFusion and/or the Protocol Network own all right, title and interest in: all models, weights, parameters, embeddings, vector representations, indexes, fine-tunes, checkpoints and adapters derived from or trained on Persona Inputs or Outputs; all aggregated, statistical, anonymised and de-identified data derived from them; all Protocol Network records, attestations and metadata; and all software, algorithms and improvements developed in connection with the Services. You assign to us any such right you may be deemed to acquire.
11.3 You do not own a Persona. The NFT key may be transferred, the persona may not. The key itself is not taken back; a revoked key cannot host a page, even for a later holder.
11.4 Moral rights. To the maximum extent permitted by applicable law, you waive and agree not to assert moral rights, rights of attribution or integrity, and similar rights, in Persona Inputs and Outputs.
11.5 Survival. Sections 11.1 to 11.4 survive termination, account closure, deletion of a Persona and withdrawal of consent.
11.6 Your statutory rights are unaffected. Nothing in Section 11 overrides any right you hold under data protection law that cannot be waived. Where such a right applies it prevails over this Section to the extent of the conflict, and the rest of this Section continues in force. Your personal data is governed by the Persona Privacy Notice.
12. The Protocol Network
The Services operate partly through a decentralised network we do not exclusively own or control. Persona Inputs and Outputs may be transmitted to, processed by, stored on and served from independent nodes, operators, validators and infrastructure providers in multiple jurisdictions. We impose contractual and protocol requirements where we can, but we do not control those participants.
Data, transactions, and related items may be written to an immutable ledger or decentralized storage layer. If that changes we will give you advance notice, explain the effect on your deletion rights, obtain fresh consent where the law requires it, and give you an opportunity to delete your Persona first. Once data is committed to an immutable layer it may be replicated by third parties and may be impossible for us to delete, amend or recall.
13. Price, payment and billing
Prices are shown at checkout and include applicable taxes where we are required to show them inclusive.
14. No right to cancel once minted
14. Referral Terms
Referrers earn a commission of percentage of the net price in USDC for each successful referral, and buyers may receive a USDC discount. Commissions vest and become payable 30 days following the qualifying sale, provided the referrer is verified and the total pending payout meets or exceeds the minimum payout threshold of 25 USDC.
Commissions may be capped at a maximum of 100 commissioned purchases per month per referrer. All payouts, referral commission, discounts and commission caps are subject to administrative approval and discretion, and referrers remain solely responsible for any applicable tax obligations associated with earned commissions.
15. No right to cancel once minted
16. No refunds where a Subject declines or withdraws
- We disable a Persona under Section 7 after finding a likely violation by you: no refund.
This is in addition to, and does not limit, your statutory remedies.
16. Suspension, termination and deletion
We may investigate, restrict, suspend, disable or delete any Persona or account where we reasonably believe these Persona Terms have been breached, where a Subject has withdrawn consent, where required by law, or where necessary to protect any person. Where it is lawful and practicable to do so, we will tell you why and, for consumers, give notice before acting unless the circumstances require immediate action.
On termination, Personas, Persona Inputs, Outputs and interaction histories may be deleted. Keep your own copies of anything you want to retain. The key itself is not taken back; a revoked key cannot host a page, even for a later holder. Our rights under Section 11 survive.
17. Liability
17.1 Subject to Section 17.3 and Section 22, we are not liable for:
(a) any Persona Output, or any characterisation, portrayal, distortion, defamation or false attribution of any person by or through a Persona; (b) reliance by anyone on a Persona Output; (c) use of a Persona by a Creator, Subject, third party or unauthorised party; (d) acts or omissions of Protocol Network participants; or (e) any decision made or action taken on the basis of a Persona Output.
17.2 Subject to Section 17.3 and Section 22, our total liability to you in connection with these Persona Terms is limited to the greater of the amount you paid us for Personas in the 12 months before the claim, or USD 100.
17.3 What we never exclude. Nothing in these Persona Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded or limited.
17.4 Consumers. If you are a consumer, Sections 17.1 and 17.2 do not affect the statutory rights described in Section 22, and do not apply to the extent they would exclude or restrict liability the law does not permit us to exclude or restrict.
18. Your indemnity
This Section does not apply to you if you are a consumer acting outside your trade, business, craft or profession.
If you use Personas in the course of a business, you will defend, indemnify and hold harmless dFusion AI Labs inc., its affiliates, officers, employees, agents, licensors, service providers and Protocol Network participants against all claims, proceedings, investigations, losses, damages, fines, penalties, settlements, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to: any Persona you control; any Persona Input you supply; breach of your warranties in Section 5.5; any claim by a Subject, including for violation of publicity, digital-replica or likeness rights, defamation, false light, misappropriation or invasion of privacy; any claim under a biometric privacy statute; any claim under a digital replica, synthetic media or AI disclosure law; the absence, invalidity or withdrawal of a consent; and any breach of Sections 8 or 9.
19. Changes to these Persona Terms
We may change these Persona Terms. We will give you at least 5 days' notice on your key page and on the site of any change that affects you materially, together with the reason and the date it takes effect, and you may terminate before then, but no refunds will be available. Continuing to use Personas after the effective date means you accept the change. Changes required by law may take effect sooner where necessary.
20. Complaints and dispute resolution
Contact service@dfusion.ai first; we aim to respond within 30 days. If we cannot resolve matters, you keep every right to go to court set out in Section 23.
21. Governing law
These Persona Terms are governed by the law of the Republic of Seychelles.
If you are a consumer, this does not deprive you of the protection of the mandatory consumer-law provisions of the country where you habitually reside, and where those provisions give you more protection than Seychelles law, they apply instead. For UK consumers, Part 1 of the Consumer Rights Act 2015 applies where the contract has a close connection with the United Kingdom.
22. Your statutory rights as a consumer
This Section prevails over anything inconsistent elsewhere in these Persona Terms.
22.1 You have rights under the law of your own country that we cannot remove or reduce by agreement. In particular, where you pay for digital content you are generally entitled to content that matches its description, is of satisfactory quality and is fit for its ordinary purposes — judged against what we actually told you you were buying, including the specified limitations in the Experimental Feature Disclosure.
22.2 If Personas do not meet that standard, we will take feedback and improve performance as fast as we can at our discretion, and no refunds will be available at this time.
22.3 We do not exclude, restrict or make conditional any of those rights or remedies, shorten any statutory time limit, or reverse any burden of proof the law places on us.
22.4 Nothing in these Persona Terms requires you to give up a legal remedy, go to arbitration, or bring a claim anywhere other than where the law entitles you to bring it.
22.5 You may also have rights under your local data protection law, which are set out in the Persona Privacy Notice and which these Persona Terms do not affect.
23. Courts
If you are a consumer, you may bring proceedings in the courts of the country where you live, or in the courts of Seychelles, at your choice. We may bring proceedings against you only in the courts of the country where you live. The courts of Seychelles have non-exclusive jurisdiction.
If you are not a consumer, the courts of Seychelles have exclusive jurisdiction.
24. Precedence, severability and general
24.1 Precedence. If these Persona Terms conflict with dFusion's general Terms of Use, these Persona Terms prevail for Personas. If they conflict with the Persona Privacy Notice on the handling of personal data, the Privacy Notice prevails. If they conflict with the Experimental Feature Disclosure on what the product does, the Disclosure prevails. Section 22 prevails over everything in this document.
24.2 Severability. If any provision is held invalid, unenforceable or inapplicable in any jurisdiction or as to any person, it is modified to the minimum extent necessary to make it enforceable or, failing that, severed; the rest continues in force. Invalidity as to one person or jurisdiction does not affect validity as to others.
24.3 We may assign these Persona Terms to an affiliate or in connection with a merger, acquisition or sale of assets, provided your rights are not reduced. You may not assign without our consent.
24.4 These Persona Terms, the Privacy Notice, the Experimental Feature Disclosure and any Biometric Data Consent & Release are the whole agreement between us about Personas. Nothing in this clause limits liability for fraudulent misrepresentation.
